These Terms govern access to and use of the Webroots platform, including associated modules, implementation services, and the marketing website.
By accessing or using Webroots, you agree to these Terms.
1. Service Scope
Webroots provides software tools and related services designed to support operational workflows, including but not limited to:
- Website and content management
- Scheduling and program management
- Registration and payment processing
- Membership management
- Conference and event workflows
- Reporting and administrative tools
Certain services may include implementation, configuration, or consulting support as agreed in writing.
Webroots may improve, modify, or discontinue features at its discretion.
2. Client Responsibilities
Account owners are responsible for:
- Maintaining the confidentiality of login credentials
- Managing user roles and permissions
- Ensuring the accuracy and legality of submitted data
- Complying with applicable laws and regulations
Clients are responsible for the content, submissions, and operational data processed through their systems.
3. Acceptable Use
You agree not to:
- Attempt unauthorized access to systems or data
- Interfere with service integrity or availability
- Upload malicious code or harmful content
- Use the platform for unlawful or fraudulent purposes
- Reverse engineer or attempt to copy the software
Webroots may suspend or terminate accounts that violate these terms.
4. Billing and Payment
Paid subscriptions renew according to the selected billing interval unless canceled prior to renewal.
Fees are due in advance.
Implementation services may be invoiced separately.
Fees are non-refundable except where required by law or agreed in writing.
Failure to pay may result in suspension of service.
5. Data Ownership and Platform Rights
Client data remains the property of the client.
Webroots retains ownership of:
- The platform software
- Codebase and architecture
- System design and proprietary workflows
- Branding and documentation
Clients receive a limited, non-transferable license to use the platform during the active subscription period.
6. Availability and Support
Webroots aims to provide reliable service and reasonable uptime. However:
- The service is provided on an “as available” basis.
- Maintenance, updates, and infrastructure events may affect availability.
- No guarantee of uninterrupted or error-free operation is provided.
Support levels may vary depending on the subscription or implementation agreement.
7. Termination
Either party may terminate service:
- At the end of a billing term
- For material breach
- For non-payment
Upon termination, platform access will be disabled. Data export options may be available upon request within a reasonable period.
8. Limitation of Liability
To the maximum extent permitted by law:
Webroots shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost data, or business interruption.
Total liability shall not exceed the fees paid by the client in the preceding 12 months.
9. Indemnification
Clients agree to indemnify and hold harmless Webroots from claims arising from:
- Client content or submissions
- Misuse of the platform
- Violations of applicable law
10. Governing Law
These Terms are governed by the laws of the applicable jurisdiction where Webroots operates, unless otherwise agreed in writing.
